Conditions of Use Professional Sales via bol

Our general conditions enable us to guarantee the quality of our platform. From January 1, 2026, we will adjust some conditions in our Conditions of Use for Professional Sales via bol.
Article 1 paragraph 6 - Definitions
The amended Article 1 paragraph 6 reads as follows:
6. Conditions of Use: these conditions of use professional sales via bol, including all appendices and the information (pages) as included on the Website for Professional Partners, as well as all underlying information (pages) referred to from the Website for Professional Partners.
The following definitions are added to Article 1:
Sanction List: a list established by national or international authorities of persons, entities, and countries to which sanctions apply, including but not limited to financial restrictions, trade prohibitions, or other measures that may restrict or prohibit the entering into or continuation of an agreement.
High-Risk Country: a country designated by national or international authorities (including, but not exclusively, the United Nations, a body of the European Union, the Financial Action Task Force, or other competent authorities) as a country with an increased risk of money laundering, terrorist financing, corruption, or other serious financial or legal risks, or a country against which economic or legal sanctions have been imposed.
Negative Media Coverage: negative reporting in reliable and generally accessible media indicating fraud, corruption, money laundering, terrorist financing, or other criminal offenses or conduct that could harm the reputation of bol or its partners.
Article 2 paragraph 4 - seller account
The amended Article 2 paragraph 4 reads as follows:
4. To act as a Professional Partner, the Professional Partner must:
a. be established in the Netherlands or Belgium;
b. have an active registration with the Chamber of Commerce in the Netherlands or the trade register in Belgium;
c. have a valid VAT number in the name of the Professional Partner from the country of establishment of the Professional Partner;
d. have registered business activities in the trade register that correspond to its activities on the Platform;
e. have a login account with bol;
f. have created a seller account in the Platform;
g. confirm that the Conditions of Use have been accepted;
h. use its seller account for sales purposes;
i. share its ultimate beneficial owner with bol;
j. confirm that neither it, nor its partners, (indirect) director(s), (indirect) shareholder(s), members of the supervisory board, person(s) who can influence the way its company conducts its activities, or the (pseudo) ultimate beneficial owner(s) of its company have been involved in another seller account that was closed in the past 5 years (calculated from the moment of applying for the seller account) due to a violation of the Conditions of Use;
k. confirm that the (indirect) director(s), shareholder(s) or the ultimate beneficial owner(s) have reached at least the age of 18;
l. have an active bank account in a SEPA country demonstrably belonging to the Professional Partner;
m. have a Dutch or Belgian postal address;
n. have a valid identification document that is not registered as stolen or lost;
o. not have been convicted of a criminal offense in the past five years, including but not limited to: fraud, receiving stolen goods, forgery, embezzlement, and money laundering. This requirement applies to the contact person(s) of the Professional Partner, the ultimate beneficial owner(s) and/or the person(s) authorized to represent the Professional Partner.
Article 15 paragraph 1 – Restriction, suspension, and termination of Professional Partnership
The amended Article 15 paragraph 1 reads as follows:
1. Bol may restrict, suspend, or terminate a seller account. If bol proceeds with this, the decision will always be accompanied by a motivation. Bol may restrict, suspend, or terminate a seller account if bol suspects that one or more applicable conditions are being violated, there is fraud or money laundering, the Professional Partner leaves invoices from bol unpaid, there is distribution of illegal content (as referred to in Article 3 sub h Regulation (EU) 2022/2065) (including infringement of intellectual property rights of bol or third parties), the Professional Partner or its director(s) or its ultimate beneficial owner(s) or its (over)(grand)parent company is on a Sanction List or is established in a High-Risk Country or is subject to a government measure that restricts or excludes participation in economic traffic or has been the subject of Negative Media Coverage in the past five years, the use of the seller account disrupts the proper functioning of the
Platform of bol or, in bol's opinion, may be detrimental to the good name of bol or third parties. In addition, bol may restrict, suspend, or terminate the seller account if the information provided by the Professional Partner when opening the seller account or during periodic checks carried out by bol is incorrect, incomplete, or untruthful. In that case, bol may immediately block the seller account without prior warning. This is, for example, the case when a Professional Partner has incorrectly declared that neither it, nor its partners, (indirect) director(s), (indirect) shareholder(s), members of the supervisory board, person(s) who can influence the way its company conducts its activities, or the (pseudo) ultimate beneficial owner(s) of its company have been involved in another seller account that was closed in the past 5 years (calculated from the moment of applying for the seller account) due to a violation of the Conditions of Use. Bol may also terminate a seller account if the Professional Partner is declared bankrupt, if the bankruptcy of the Professional Partner has been filed for, if the Professional Partner has been granted a suspension of payments, or if a suspension of payments has been requested for the Professional Partner.
Article 21 paragraph 3 - Miscellaneous
The amended Article 21 paragraph 3 reads as follows:
3. Bol is entitled to amend these Conditions of Use at any time. Bol will inform Professional Partners 15 days, or such longer period as bol deems reasonable for the Professional Partner to implement technical and commercial adjustments, prior to the entry into force of the amended Conditions of Use. Exceptionally, bol may retroactively amend the Conditions of Use if the amendment results from a legal or regulatory obligation or if the retroactively imposed amendments are to the benefit of the Professional Partners. During this period of 15 days or longer, the Professional Partner may terminate their seller account as a result of the (proposed) amendments by sending an email to zakelijkverkopen@bol.com. The amendments will not take effect until after the expiry of the aforementioned period. The amended Conditions of Use will be published on the Platform. If a Professional Partner continues to use their seller account after notification of the amended Conditions of Use, they thereby accept the applicability of the amended Conditions of Use and their right to terminate lapses. It is therefore advisable to consult the Conditions of Use before using the seller account.
Appendix 1 - General sales conditions professional sales via bol

The amended Article 8.1 reads as follows:
Article 8 - Exercise of the right of withdrawal by the Buyer and costs thereof
1. If the Buyer exercises their right of withdrawal, they must notify the Seller within the cooling-off period by means of the model withdrawal form or in another unambiguous manner
to the Seller. The Buyer can request a return label in their customer account during the cooling-off period. The model form is included as Appendix I.
Conditions of Use Shipping via bol
Article 4 – Delivery conditions
The amended Article 4 paragraph 4 reads:
If the Shipping via bol Partner does not comply with the delivery conditions as included in appendix 1 and appendix 2, bol and its carrier(s) are at all times free to refuse the items that the Shipping via bol Partner supplies for Shipping via bol, terminate its Shipping via bol partnership, or charge additional fees (including a surcharge) as set out on the Website for Professional Partners. The Shipping via bol Partner has 30 days after receipt of the relevant invoice to notify bol of any objections to the above additional fee (including a surcharge).
Appendix 1 – Shipping via bol services (including Delivery conditions)
The amended conditions of DHL eCommerce (Netherlands) B.V. and DHL eCommerce (Services) B.V. (‘DHL') read as follows:

In addition to the conditions included in appendix 2, the following conditions apply to DHL:
A. DHL ensures a workable network of drop-off points.
B. Drop-off for next-day delivery until 4:00 PM (maximum 100 packages) at:
a. a regular DHL ServicePoint, maximum 25 packages
b. a DHL ServicePoint XL, maximum 100 packages
C. Drop-off for next-day delivery after 4:00 PM or more than 100 packages at:
a. a DHL CityHub until 6:00 PM
b. a DHL RegioHub until 7:00 PM
D. Drop-off of +100 packages at CentralHub Utrecht.
E. For dropping off at a CityHub, RegioHub, or the CentralHub Utrecht, a Shipping via bol Partner must register with DHL.
F. Packages offered after the latest drop-off time or outside working days (Mon-Fri) at the drop-off point will not be delivered the next day.

Article 1 – Additional definitions
1. Selling Rights: the prior authorization from bol, without which the Professional Partner is not entitled to offer certain items from a Category on the Platform.
2. Assessment process: the process carried out by bol to assess whether the Professional Partner qualifies to offer items from a Category on the Platform, as further explained in Article 3. 3. Category(ies): the item groups mentioned on the Website for Professional Partners, which Professional Partners may only offer via the Platform after authorization by bolhttps://partnerplatform.bol.com/nl/hulp-nodig/aanbod/verkooprechten/.
4. Additional Conditions: these ‘Additional Conditions ‘Conditions of Use Professional Sales via bol’ for Selling Rights’
5. Conditions of Use: the ‘Conditions of Use Professional Sales via bol’.
6. All other definitions mentioned in these Additional Conditions have the same meaning as given to them in the Conditions of Use.
Article 2 – Scope
1. These Additional Conditions apply to Professional Partners who offer (or wish to offer) items on the Platform, which items have been included by bol in the Categories.
2. All provisions from the Conditions of Use remain fully applicable. The Additional Conditions apply in addition to the Conditions of Use.
3. It is solely at bol's discretion for which items Selling Rights are established.
Article 3 – Application for selling rights and content of the Assessment process
1. To be allowed to offer items from a Category on the Platform, the Professional Partner must successfully complete the Assessment process. The criteria for successfully completing the Assessment process may vary per item. These criteria are explained per Category on the Website for Professional Partners. These criteria may include (but are not limited to) being part of a selective distribution network or providing sufficient evidence so that, in bol's assessment, it can be determined that authentic items are being offered.
2. Completing the Assessment process is no guarantee of its outcome. Bol is free, for its own compelling reasons, not to allow the Professional Partner to offer items from a Category on the Platform.
3. A Professional Partner who wishes to undergo the Assessment process must register via the relevant form in their seller account.
4. By registering for the Assessment process, the Professional Partner agrees to these Additional Conditions and provides the necessary documents indicated on the form, for example, a purchase invoice or a photo of the item for which Selling Rights are being requested.
5. Bol may request further information from the Professional Partner during – but also after – the Assessment process. Bol may also physically request the item for assessment of product claims made by the Professional Partner.
6. Based partly on the information provided by the Professional Partner, bol assesses whether the Professional Partner qualifies to offer items from a Category. Bol takes into account, among other things, the completeness and correctness of the information provided.
7. Bol will inform the Professional Partner by e-mail about the outcome of the Assessment process.
Article 4 – Guarantees and obligations
1. Bol performs certain quality, authenticity, or other assessments during the Assessment process. For this assessment, the Professional Partner provides, among other things, information and/or physical items. After the granting of Selling Rights, the Professional Partner maintains the circumstances and its items as they were assessed by bol. Should circumstances change that affect the quality, authenticity, or conformity of the items from a Category, the Professional Partner must inform bol thereof without delay, but within two weeks after the Professional Partner was aware or reasonably should have been aware of this.
2. The guarantees and obligations from the Conditions of Use (for example, but not exclusively, based on Article 13 of the Conditions of Use) remain fully applicable.
Article 5 – (Temporary) withdrawal of Selling Rights
1. Bol may proceed with the (temporary) withdrawal of Selling Rights. If bol proceeds with this, the decision will always be accompanied by a motivation.
2. Bol may proceed with the (temporary) withdrawal of Selling Rights if the Professional Partner no longer meets the criteria of the Assessment process as referred to in Article 3, if bol suspects that one or more applicable conditions are being violated, bol observes irregularities, such as (but not exclusively) reports from the brand owner, customers, or other third parties, if there is fraud, the Professional Partner leaves invoices from bol unpaid, the use of the Selling Rights by the Professional Partner disrupts the proper functioning of the Platform of bol or, in bol's opinion, may be detrimental to the good name of bol or third parties.
3. In addition, bol may (temporarily) withdraw the Selling Rights if the information provided by the Professional Partner is incorrect, incomplete, or untruthful. In that case, bol may withdraw the Selling Rights immediately and without prior warning.
4. The Selling Rights are automatically withdrawn when the Professional Partnership ends.
5. In the event that bol proceeds with the (temporary) withdrawal of Selling Rights, the Professional Partner will have the opportunity to clarify their perspective on the facts and circumstances by using bol's complaint handling system based on Article 19 of the Conditions of Use.
6. The Professional Partner may decide at any time to no longer use the Selling Rights.
7. If bol suspects that a Professional Partner is acting in violation of one or more applicable conditions, bol has the right to conduct further investigation. The Professional Partner will provide all information reasonably requested by bol as quickly as possible. The Professional Partner is obliged to cooperate with a reasonable request from bol intended to exclude violations of the applicable conditions. If the Professional Partner does not cooperate with such a reasonable request from bol, bol may (temporarily) withdraw the Selling Rights.
Article 6 – Consequences of termination of Selling Rights
1. If the Professional Partner no longer has Selling Rights, and the Professional Partner had concluded one or more Purchase Agreements with one or more customers at the time of having Selling Rights, the Professional Partner remains responsible for fulfilling those Purchase Agreement(s) even after the withdrawal of the Selling Rights. This includes, in any case, the delivery of ordered items and after-sales service, including but not limited to customer service, warranty, and return processing.
2. The Professional Partner cannot claim any compensation from bol in connection with the (temporary) withdrawal of Selling Rights by bol, and the Professional Partner hereby waives any right to any (damage) compensation.
Article 7 – Liability and indemnification
1. The provisions regarding liability and indemnification as included in the Conditions of Use form an integral part of these Additional Conditions and remain fully applicable.
Article 8 – Other provisions
1. Bol is entitled to amend these Additional Conditions at any time. Bol will inform Professional Partners 15 days prior to the entry into force of the amended Additional Conditions, or such longer period as bol deems reasonable for the Professional Partner to implement technical and commercial adjustments. Exceptionally, bol may retroactively amend the Additional Conditions and the Website for Professional Partners if the amendment results from a legal or regulatory obligation or if the retroactively imposed amendments are to the benefit of the Professional Partners.
2. If the Professional Partner continues to offer items from a Category after notification of the amended Additional Conditions, they thereby accept the applicability of the amended Additional Conditions. In the event that the amended Additional Conditions are not acceptable to the Professional Partner, the Professional Partner is entitled to remove the offer of their items from a Category and/or terminate the Professional Partnership.
3. The minimum period of 15 days (see paragraph 1) does not apply if bol amends the Additional Conditions i) based on a legal obligation or ii) to address an unforeseen imminent danger related to protection against fraud, malware, spam, privacy breaches, and misuse of personal data or risks related to cybersecurity. The amended Additional Conditions will then take effect immediately after notification and publication.
4. If any provision of these Additional Conditions should conflict with applicable law, this provision will be amended in such a way that it will be in accordance with applicable law, as much as possible taking into account the purpose of the relevant provision.
5. The Professional Partner is not entitled to transfer (a part of) their Selling Rights to a third party, unless bol has given its prior written consent thereto.
