What changes in our Conditions of Use next quarter

With the Conditions of Use, we ensure the quality of our platform. Effective May 30, 2025, we will adjust some conditions in the Conditions of Use Professional Sales and Logistics via bol. In this message, you can read which conditions this concerns and what changes.

Conditions of Use Professional Sales via bol
Article 1 - Definitions
Professional Partner(s): any natural or legal person who meets the requirements of Article 2 of the Conditions of Use.
Article 2 - Seller account
- Every Professional Partner must create a seller account before they can offer and sell items via the platform.
- bol is at all times entitled to, without stating a reason, refuse to grant a Professional Partner a seller account and/or impose additional requirements for granting a seller account.
- Registration as a Professional Partner implies acceptance of the Conditions of Use and the obligation to comply with the Conditions of Use and the information on the Website for Professional Partners (https://partnerplatform.bol.com).
- To act as a Professional Partner, the Professional Partner must:
a. be established in the European Union;
b. have an active registration with the Chamber of Commerce in the Netherlands or the commercial register in Belgium;
c. have a valid VAT number in the name of the Professional Partner from the Professional Partner's country of establishment;
d. have a login account with bol;
e. have created a seller account in the Environment;
f. confirm that the Conditions of Use have been accepted;
g. confirm that neither they, nor their partners, (indirect) director(s), (indirect) shareholder(s), members of the supervisory board, person(s) who can influence the way their company conducts its activities, or the (pseudo) ultimate beneficial owner(s) of their company have been involved in another seller account that was closed in the past 5 years (counted from the moment of applying for the seller account) due to a violation of the Conditions of Use;
h. confirm that the (indirect) director(s), shareholder(s) and/or the ultimate beneficial owner(s) have reached at least the age of 18;
i. have an active bank account in a SEPA country demonstrably belonging to the Professional Partner;
j. have a Dutch or Belgian postal address;
k. have a valid identification document that is not registered as stolen or lost;
l. not have been convicted of a criminal offense in the past five years, including but not limited to: fraud, fencing, forgery, embezzlement, and money laundering. This requirement applies to the contact person(s) of the Professional Partner, the ultimate beneficial owner(s), and/or the person(s) authorized to represent the Professional Partner.
bol checks upon registration as a Professional Partner and subsequently periodically whether the Professional Partner meets the requirements of this article.
If the Professional Partner does not (or no longer) meet the requirements of this Article 2, bol is entitled to terminate the Professional Partnership. The notice period as stipulated in Article 15.3 of the Conditions of Use will apply in that case.
Article 15 – Restriction, suspension, and termination of Professional Partnership
- bol may proceed to restrict, suspend, or terminate a seller account. If bol does so, this decision will always be accompanied by a motivation. bol may proceed to restrict, suspend, or terminate a seller account if bol suspects that one or more applicable conditions are being violated, there is fraud, the Professional Partner leaves invoices from bol unpaid, there is distribution of illegal content (as referred to in Article 3 sub h Regulation (EU) 2022/2065) (including infringement of intellectual property rights of bol or third parties), the use of the seller account disrupts the proper functioning of bol's Environment or, in bol's opinion, may be harmful to the good name of bol or third parties. In addition, bol may restrict, suspend, or terminate the seller account if the information provided by the Professional Partner when opening the seller account is incorrect, incomplete, or untruthful. In that case, bol may immediately block the seller account without prior warning. This is for example the case when a Professional Partner has incorrectly declared that neither they, nor their partners, (indirect) director(s), (indirect) shareholder(s), members of the supervisory board, person(s) who can influence the way their company conducts its activities, or the (pseudo) ultimate beneficial owner(s) of their company have been involved in another seller account that was closed in the past 5 years (counted from the moment of applying for the seller account) due to a violation of the Conditions of Use. bol may also terminate a seller account if the Professional Partner is declared bankrupt, if the bankruptcy of the Professional Partner has been filed, if the Professional Partner has been granted a moratorium, or if a moratorium has been requested for the Professional Partner.

- In the event bol proceeds to terminate a seller account, bol will observe a notice period of 30 days, with the exception of the situations described in paragraphs 1 and 5 of this article.
Addition:
9. If bol suspects that a Professional Partner is acting in violation of one or more applicable conditions, bol has the right to conduct further investigation. The Professional Partner is obliged to cooperate with a reasonable request from bol intended to rule out a violation of the applicable conditions. If the Professional Partner does not cooperate with such a reasonable request from bol, bol may restrict, suspend, or terminate that Professional Partner's seller account in accordance with this article.

Conditions of Use Professional Sales via bol
Article 1 – Definitions
Professional Seller(s): a natural person or legal entity who meets the requirements set out in article 2 of the Conditions of Use.
Article 2 – Sales Account
- Each and every Professional Seller must create a Sales Account before he can offer and sell Items on the Platform.
- Bol shall at all times be authorised, without stating a reason, not to grant a Professional Seller a Sales Account and/or to impose additional requirements on the granting of a Sales Account.
- Registration as a Professional Seller implies acceptance of the Conditions of Use and of the obligation to observe the Conditions of Use and the information on the Website for Professional Sellers.
- To act as a Professional Seller the Professional Seller must:
a. be established in the European Union;
b. dispose of an active registration with the Chamber of Commerce in the Netherlands or the Trade Register in Belgium;
c. dispose of a valid VAT number in the name of the Professional Seller and located in the Professional Seller’s country of establishment;
d. dispose of a login account with bol;
e. have created a Sales Account in the Environment;
f. confirm to have accepted the Conditions of Use;
g. confirm that neither they, nor their partners (in Dutch: vennoten), (indirect) directors, (indirect) shareholders, members of the supervisory board, persons who can exert influence on how their business conducts its activities, nor the (pseudo) ultimate beneficial owner(s) of their business, have been involved in any other Sales Account that has been closed in the past 5 years (calculated from the moment of applying for the Sales Account) due to a violation of the Conditions of Use;
h. confirm that the (indirect) director(s), shareholder(s), or ultimate beneficial owner(s) has and/or have reached at least the age of 18;
i. dispose of an active payment account in a SEPA country demonstrably belonging to the Professional Seller;
j. dispose of a Dutch or Belgian postal address;
k. hold a valid identification document that has not been reported as lost or stolen;
l. not have been convicted of a criminal offense in the past five years, including but not limited to: fraud (oplichting), receiving stolen goods (heling), forgery (valsheid in geschrifte), embezzlement (verduistering), and money laundering (witwassen). This requirement applies to the contact person(s) of the Professional Seller, the ultimate beneficial owner(s), and/or the person(s) authorized to represent the Professional Seller.
Bol shall verify upon registration as a Professional Seller and subsequently on a periodic basis, whether the Seller complies with the requirements set out in this article.
If the Professional Seller does not (or no longer) meet the requirements set out in this article 2, bol shall be entitled to terminate the Professional Seller’s Sales Account. In such case, the notice period as stipulated in article 15.3 of the Conditions of Use shall apply.
Article 15 – Limitation, suspension and termination of Professional Seller Status
- Bol may restrict, suspend or terminate a Sales Account. If bol proceeds to such an action, the decision will always be motivated. Bol may restrict, suspend or terminate a Sales Account if bol suspects that one or more applicable conditions are being violated, that there has been fraud, if the Professional Seller defaults on bol invoices, there is distribution of illegal content (as referred to in Article 3(h) of Regulation (EU) 2022/2065) (including infringement of intellectual property rights of bol or third parties), the use of the Sales Account disrupts the proper functioning of the bol Environment or, in bol’s opinion, may be harmful to the good name of bol or third parties. Furthermore, bol may restrict, suspend, or terminate the Sales Account if the information provided by the Professional Seller upon opening the Sales Account is incorrect, incomplete, not in accordance with the truth. In such cases, bol may lock the Sales Account immediately and without prior warning. This applies, for example, when a Professional Seller has falsely declared that neither they, nor their partners (in Dutch: vennoten), (indirect) directors, (indirect) shareholders, members of the supervisory board, persons who can exert influence on how their business conducts its activities, nor the (pseudo) ultimate beneficial owner(s) of their business, have been involved in any other Sales Account that has been closed in the past 5 years (calculated from the moment of applying for the Sales Account) due to a violation of the Conditions of Use. Bol may also terminate a Sales Account when the Professional Seller is declared bankrupt, when the Professional Seller has applied for bankruptcy, when the Professional Seller has been granted a suspension of payment or when the Professional Seller has applied for a suspension of payment.

- In the event that bol terminates a Sales Account, bol will observe a notice period of thirty (30) days, except in situations as described in paragraph 1 and 5 of this article.
Addition:
9. If bol suspects that a Professional Seller is in breach of one or more applicable terms, bol has the right to conduct further investigation. The Professional Seller is required to cooperate with any reasonable request from bol intended to exclude a breach of the applicable terms. If the Professional Seller fails to cooperate with such a reasonable request from bol, bol may limit, suspend, or terminate the Professional Seller’s Sales Account in accordance with this article.
Schedule 1: General Sales Terms and Conditions Professional Sales via bol
Article 1 – Definitions
Entrepreneur: the natural person or legal entity who offers products, (access to) digital content and/or services to Buyers remotely via the Platform
General terms and conditions for purchases from other sellers
Article 7 – Provisions applicable to purchases from Other Seller(s)
1. If a Customer purchases a product via the Platform from an Other Seller (so-called professional seller), then: (…)
3. If an Other Seller has not accepted an order within three (3) days after the latest delivery date, bol.com will inform the Customer that the order has not been accepted and bol.com will refund the Customer any payment already received by bol.com in this regard. (…)
Conditions of Use bol Logistics
Article 1 – Definitions
Professional Seller: each and any natural persons legal entity who is registered with the Chamber of Commerce (or equivalent) in the European Union (EU) and who disposes of a VAT number, created a Sales Account, accepted these Conditions of Use and was accepted as a seller by bol.
Terms and Conditions of Use for Shipping via bol
Article 1 – Definitions
Professional Seller(s): any natural person or legal person which is registered with the Chamber of Commerce in the Netherlands and holds a VAT number, has a return address within the Netherlands, has created a Sales Account, has consented to the Bol Professional Sales Terms and Conditions and which bol has accepted as a Seller.
Annex 1 – Services provided for Shipping via bol (including Terms and Conditions of Handover)
Ampère – The speedy transport for delivery today:
- B. Pick-up times and days: the times from Monday to Friday (except national holidays) for pick-ups by Ampère are between 09:30 and no later than 11:45 hours at the location of the Shipping via bol Seller.
- C. The Shipping via bol Seller is expected to be present at the location between 09:30 and 11:45 hours.
Terms and Conditions of Use for Packaging via bol
Article 1 – Definitions
Professional Seller(s): any natural person or legal person which is registered with the Chamber of Commerce in the Netherlands and holds a VAT number, has created a Sales Account, has consented to the bol Professional Sales Terms and Conditions and which bol has accepted as a Seller.
