What changes in our Terms and Conditions next quarter

With the Conditions of Use, we ensure the quality of our platform. Effective June 4, 2026, we are adjusting some conditions in the Conditions of Use Professional Sales via bol and Conditions of Use Professional Sales via bol for non-European third party sellers. In this message, you can read which conditions are affected and what changes.

Article 1 (1)

Buy Now, Pay Later with bol credit: the service whereby BCS provides the Customer with credit that enables the Customer to make purchases from bol acting as a retailer and from Professional Sellers who sell their products via the Platform.

 

Article 1 (2)

BCS: the private company with limited liability bol Credit Services B.V., having its registered office in (3528 BJ) Utrecht, at Papendorpseweg 100, registered in the trade register of the Chamber of Commerce under number 97261564.

 

Article 1 (4)

bol-entity: any entity forming a part of the group to which bol belongs within the meaning of Article 2:24b of the Dutch Civil Code.

Article 1 (9)

Conditions of Use: these conditions of use professional sales via bol including any and all schedules and the information pages as included on the Website for Professional Sellers, as well as all underlying information pages referenced from the Website for Professional.

 

Article 2 (8)

The Professional Seller is at all times fully responsible for the use that is made of the Sales Account and for those who obtain access to the Sales Account. The Professional Seller irrevocably authorizes any person to whom it grants access to the Sales Account to perform those legal acts on behalf of the Professional Seller that can be performed through the use of the Sales Account. Bol is entitled to assume that any person performing acts via the Sales Account has been authorized by the Professional Seller to perform all acts within the Sales Account on behalf of the Professional Seller. Bol is at all times authorised to, for reasons of its own, suspend the use of the Sales Account by the Professional Seller, observing the provisions in article 15 of the Conditions of Use.

 

Article 5 (5)

The Professional Seller shall submit the correct track and trace number of any and all Items shipped by the Professional Seller to bol for the benefit of the monitoring by bol of compliance with the service levels as intended in schedule 2 by the Professional Seller and to enable bol to assess whether payment can already be made in accordance with

 

Article 6 (1)

1. The Professional Seller pays a Fee to bol per Item sold via the Platform, unless the Sale and Purchase agreement is dissolved by the Customer within the time limit mentioned in the general terms and conditions included in schedule 1. An indication of the level of the Fee per product category isincluded on the Website for Professional Sellers. The exact Fee is set out in the Sales Account. The Professional Seller acknowledges that bol is authorised to unilaterally adjust the level of the Fee for each and every sub-category and/or product category twice a year. The Professional Seller is informed accordingly in advance seven (7) days prior to the entry into force.

Article 6 (5)

5. If the Customer makes use of Buy Now Pay Later with bol credit when purchasing an Item via the Platform, the conditions between BCS and the Professional Seller that have been added as Schedule 3 to these Conditions of Use shall apply.

 

Article 7 (2)

2. The payments received by bol are, upon deduction of the Fee as determined in article 6.1 of these Conditions of Use and a possible set off in accordance with article 7.3 of these Conditions of Use, paid by bol to the account number specified by the Professional Seller. Payment by bol in principle takes place once per calendar month. Bol shall issue an invoice for these payments. Bol reserves the right to suspend payments relating to Items for which delivery to the Customer has not yet taken place, until such Items have been delivered to the Customer. In the event an order is not received by Customer 2 delivery days after the expected delivery date, taking into account any delays in the delivery process provided these have been communicated by the carriers by means of a tracking code, the order can be classified by bol as not delivered. If bol sees reason to do so, bol can do additional research or make inquiries to the carrier or the Customer. If the order is marked as not delivered by bol, the Customer has no payment obligation for the order and no payment will be made by bol to the Professional Seller. In the event the Professional Seller has already been paid by bol, bol is entitled based on article 7.3 of these Conditions of Use to settle this amount against any future claims of bol towards Profession Seller. Bol has the right to postpone the payment to the Professional Seller if bol feels this is necessary to protect its Platform, Customers, third parties or reputation, or if bol suspects that the Professional Seller acts contrary to these conditions, including, but not limited to, the situation in which there are indications that ordered and paid Items will not be supplied to Customers due to shortage or fraudulent actions.

 

Article 7 (3)

3. All amounts to be received from the Professional Seller under these Conditions of Use shall be immediately due. Any bol-entity is entitled to set off every amount receivable from the Professional Seller under these Conditions of Use or under any other agreement with Professional Seller, such as the Conditions of Use Logistics via bol (Gebruikersvoorwaarden Logistiek via bol), as well as any other amount, whether or not due and payable, that the Professional Seller owes or will owe to any bol-entity, against any amount, whether or not due and payable, that any bol-entity owes or will owe to the Professional Seller, including the next payment by bol of the amounts received by bol as mentioned in article 6.2. The Professional Seller shall be notified of the set off on the invoice. If a bol-entity decides not to set off, it may (i) suspend payments to the Professional Seller for as long as the Professional Seller owes amounts to a bol-entity under these Conditions of Use or under any other agreement concluded with a bol-entity, or (ii) send the Professional Seller an invoice for the amounts owed, which the Professional Seller must then pay within the period stated on the invoice.

 

Article 8 (5)

5. The communication that takes place via these digital communication facilities application shall be retained by bol for a maximum of 25 months.

 

Article 13 (2)
New bullet:

the Professional Seller complies, in respect of the Items offered via the Platform, with all Extended Producer Responsibility (EPR) obligations applicable to it in the Netherlands and Belgium, and that it shall, upon bol’s first request, provide bol with complete, correct and accurate information and supporting documentation evidencing such compliance;

 

Article 13 (5)
5. If, as a result of the Professional Seller’s failure to comply with the EPR obligations referred to in paragraph 2, bol becomes liable for or pays any amounts, contributions, levies or reasonable costs, such amounts and costs shall be borne in full by the Professional Seller. Bol is entitled to set off such amounts and costs in accordance with Article 7(3) of these Conditions of Use.

 

Article 15 (8)

8. Bol also reserves the right to at any time discontinue the Buy Now, Pay Later with bol credit functionality for Professional Seller Status.

 

Article 17

New clause added

Pilots: the possibility exists that bol solely makes a pilot (temporary) available to bol as a seller and not to Professional Sellers. The reason for this is that bol may wish to test the technical feasibility and limitations before making the pilot available to the entire platform.

 

White goods installation service: the service under which white goods are placed and connected at the Customer’s home is reserved to bol as a seller. The reason for this is practical: bol does not have access to the schedules of Professional Sellers and is therefore unable to arrange appointments for installation and connection with Customers.

 

Schedule 3:

Schedule 3 – Terms and Conditions between Professional Sellers and BCS

Below you can find the “Terms and Conditions between Professional Sellers and BCS” (the “Conditions”), which form an integral part of the Conditions of Use Professional Sales via bol and Conditions of Use Professional Sales via bol for non-European third party sellers (the “Conditions of Use”). We kindly request you to read these thoroughly. By registering as a Professional Seller via bol and making use of the Environment, you accept and observe these Conditions.

 

Article 1 – Definitions

 

  1. The definitions set out in Article 1 of the Conditions of Use apply in full to these Conditions, unless these Conditions expressly provide otherwise.

 

Article 2 – Digital communication between the Professional Seller and the Customer

  1. Article 8 of the Conditions of Use applies in full to these Conditions.

 

Article 3 – Buy Now, Pay Later with bol credit

  1. Bol enables Customers to purchase Items offered by Professional Sellers via the Environment using Buy Now, Pay Later with bol credit. This credit is provided by BCS to the Customer under the terms agreed between BCS and the Customer.

 

  1. If the Customer purchases an Item and makes use of Buy Now, Pay Later with bol credit, BCS shall assume the obligation of the Customer to pay the Sales Price to the Professional Seller. The Professional Seller grants consent to this assumption of debt in advance by accepting these Conditions – such consent being given for every purchase where the Customer makes use of Buy Now, Pay Later with bol credit. BCS shall inform the Professional (also on behalf of the Customer) of the assumption of each individual payment obligation transferring from the Customer to BCS. From that moment, the obligation to pay the Sales Price shall be an obligation of BCS and no longer of the Customer.

 

  1. The Professional Seller acknowledges, in line with Article 6.2 of the Conditions of Use, that payments from BCS to the Professional Seller and vice versa are made via bol, and that a payment by BCS to bol constitutes a discharge of BCS's payment obligation towards the Professional Seller.

 

  1. BCS shall pay the Professional Seller (via bol) on a periodical basis. BCS shall pay the Professional Seller regardless of whether BCS receives full payment of its claims against Customers.

 

Article 4 – Cancellations and Returns

 

  1. If a Customer who has made use of Buy Now, Pay Later with bol credit cancels the order or dissolves or nullifies the Sale and Purchase Agreement in accordance with the Professional Seller's terms and conditions, the payment obligation (of the Customer or BCS) for the Sales Price shall lapse. If BCS has already paid the Sales Price to the Professional Seller, the Professional Seller shall be obliged to repay the Sales Price to BCS immediately (via bol). Bol and BCS may also set off this repayment obligation of the Professional Seller in line with Article 5. Bol and BCS reserve the right not to refund any costs charged to the Professional Seller and to charge the Professional Seller for any costs incurred in connection with the order.

Article 5 – Set-off

 

  1. In line with Article 7.3 of the Conditions of Use, the Professional Seller agrees that BCS is entitled to set off any amount, whether or not due and payable, that the Professional Seller owes or will owe to BCS against any amount, whether or not due and payable, that BCS owes or will owe to the Professional Seller, including BCS's obligation to pay the Sales Price to the Professional Seller. The Professional Seller shall be notified of the set-off on the invoice.

 

Article 6 – Data

  1. In the context of Buy Now, Pay Later with bol credit, BCS processes data to the extent necessary for the performance of this service.

 

  1. BCS processes such data solely for the purpose of offering and performing Buy Now, Pay Later with bol credit.

 

Article 7 – Privacy

  1. With respect to the processing of personal data under these Conditions, the Professional Seller and BCS each act as independent controllers within the meaning of the GDPR.

 

  1. The Professional Seller is responsible for the processing of personal data in connection with the performance of the Sale and Purchase Agreement. BCS is responsible for the processing of personal data for the purpose of offering and performing Buy Now, Pay Later with bol credit, including credit provision, payment processing and compliance with statutory obligations, as well as for data processing carried out on the basis of BCS's legitimate interests, which includes, but is not limited to, fraud prevention, product development and the improvement of its services.

 

  1. Each Party shall independently ensure compliance with the GDPR, including providing information to data subjects, facilitating the exercise of data subjects' rights, reportingpersonal data breaches to the Dutch Data Protection Authority and, where required, to the data subjects concerned, implementing appropriate security measures, and correctly establishing processor relationships where applicable. Where a data subject exercises his or her rights with a Party that is not the competent controller in respect of that request, the Party concerned shall refer the data subject to the correct Party without undue delay. Where a personal data breach at one Party relates, in whole or in part, to personal data for which the other Party acts as controller, the former Party shall notify the latter Party thereof without undue delay.

 

Article 9 – Liability

  1. Article 18 of the Conditions of Use applies in the same manner between BCS and the Professional Seller, with references to “bol” to be read as references to “BCS”.

 

Article 10 – Miscellaneous

  1. Article 21 of the Conditions of Use applies in full to these Terms.

 

Article 11 – Applicable law and competent court

 

  1. These Conditions are governed exclusively by Dutch law and any disputes shall be brought to the competent Dutch court in Utrecht.
